Terms of Service Privacy Policy AML Policy

1. Definitions

"SwapZilla" (also referred to as "we," "us," or "our") means the information aggregation platform operated at swapzilla.io and any associated subdomains or applications.

"User" (also referred to as "you" or "your") means any individual or entity who accesses or uses the Service for any purpose, including Payers and Merchants.

"Provider" means any independent third-party cryptocurrency exchange or swap service whose rates are displayed on SwapZilla. Providers are entirely independent of SwapZilla. SwapZilla does not control, operate, or act as agent for any Provider.

"Swap" or "Exchange" means a cryptocurrency conversion transaction initiated by a User directly with a Provider. SwapZilla is not a party to any Swap.

"Private Swap" means a multi-leg Swap routed through Monero (XMR) using two independent Providers, designed to break the on-chain link between sender and recipient addresses.

"Pay Service" means SwapZilla Pay, a feature that allows a Merchant to generate a payment link, share it with a Payer, and have the Payer's chosen cryptocurrency converted (via a Provider) into the Merchant's preferred receive asset.

"Merchant" means a User who creates a Payment Request through the Pay Service.

"Payer" means a User who pays against a Payment Request created by a Merchant.

"Payment Request" means a structured offer (amount, receive asset, receive network, payout address, description, expiration) created by a Merchant and shared with a Payer via a unique URL.

2. Acceptance of Terms

By accessing or using the Service, you confirm that:

  • You have read, understood, and agree to be bound by these Terms;
  • You are at least 18 years of age or the legal age of majority in your jurisdiction, whichever is higher;
  • You have the legal capacity to enter into a binding agreement;
  • You are not located in, a citizen of, or a resident of a Restricted Jurisdiction (Section 5);
  • Your use of the Service is not prohibited under any applicable law in your jurisdiction;
  • You are using the Service at your own risk.

3. Nature of the Service

3.1 What SwapZilla Is

SwapZilla is a rate aggregation and payment-routing platform. The Service retrieves and displays cryptocurrency exchange rates from independent third-party Providers, allows Users to compare rates, and provides interfaces (Swap, Private Swap, and Pay) through which Users initiate transactions executed by those Providers.

3.2 What SwapZilla Is Not

SwapZilla is NOT an exchange, broker, dealer, financial institution, or financial intermediary of any kind.

  • SwapZilla does not execute Swaps.
  • SwapZilla does not hold, store, receive, transmit, or control User funds at any time.
  • SwapZilla is not a party to any Swap or Payment.
  • SwapZilla does not pre-fund, settle, or guarantee any transaction.

3.3 Private Swap

Private Swap routes your Exchange through Monero (XMR) using two independent Providers in sequence, so that the address you send from is not linkable on-chain to the address that ultimately receives your funds. Both Providers are subject to their own KYC/AML policies — either Provider may request information or refuse to execute the Exchange. Private Swap is offered as a privacy-preserving option only; it is not designed for and must not be used to circumvent applicable laws, including AML, sanctions, and tax obligations. Privacy coins, including Monero, are restricted or prohibited in some jurisdictions (for example, but not limited to, Japan and South Korea). You are solely responsible for verifying that your use of Private Swap is lawful in your jurisdiction.

3.4 Pay Service (Merchant Payments)

The Pay Service lets a Merchant generate a Payment Request and a Payer fulfill it. SwapZilla:

  • Provides the technical infrastructure (rate quotes, deposit address allocation via a Provider, status tracking, optional webhook delivery, Merchant dashboard).
  • Does not custody, pre-fund, or guarantee any payment.
  • Does not act as escrow, payment processor, or money transmitter.
  • Does not verify the underlying commercial relationship between Merchant and Payer.

Merchants and Payers contract directly with each other. SwapZilla is not a party to that contract and is not responsible for the underlying goods, services, refunds, chargebacks, or disputes between them.

4. Limitation of Liability

SWAPZILLA IS NOT RESPONSIBLE FOR THE ACTIONS, OMISSIONS, ERRORS, NEGLIGENCE, OR MISCONDUCT OF ANY PROVIDER. SwapZilla shall have no liability whatsoever for any failure by a Provider to execute a Swap, or any delays, errors, or losses arising from a Provider's processing of a Swap or Payment.

SWAPZILLA IS NOT RESPONSIBLE FOR ANY LOSS OF FUNDS RESULTING FROM USER ERROR. This includes sending funds to an incorrect address, selecting the wrong network, entering an incorrect amount, or sending funds to a deposit address after the Payment Request has expired or been abandoned. Cryptocurrency transactions are irreversible.

SwapZilla provides webhook delivery on a best-effort basis. Merchants must reconcile payment status against the public API and must not rely on webhook delivery as the sole source of truth.

5. Restricted Jurisdictions

The Service is not offered to, and you must not access it from, any jurisdiction that is subject to comprehensive sanctions administered by the United Nations, the U.S. Office of Foreign Assets Control (OFAC), the European Union, or the United Kingdom. Restricted Jurisdictions include, without limitation: Iran, North Korea, Syria, Cuba, Crimea, and the so-called "Donetsk People's Republic" / "Luhansk People's Republic" and other Russian-occupied regions of Ukraine.

The Pay Service and Private Swap may be unavailable in additional jurisdictions where local law requires licensing or prohibits privacy-preserving instruments.

6. Merchant Obligations

If you use the Pay Service as a Merchant, you represent and warrant that:

  • You comply with all applicable laws governing your business, including consumer protection, tax, KYC, and AML obligations in your jurisdiction;
  • You are responsible for issuing any invoices, receipts, or VAT/GST documentation required by your jurisdiction;
  • You will not use the Pay Service to accept payments for goods or services that are illegal in your jurisdiction or in the Payer's jurisdiction;
  • You will keep your API keys, webhook secrets, and session credentials confidential;
  • You are responsible for handling refunds, disputes, and customer support directly with Payers — SwapZilla is not a party to those interactions.

7. Prohibited Uses

You agree not to use the Service to violate any law, engage in money laundering, terrorist financing, fraud, evade sanctions, accept payments for activities prohibited in your or the Payer's jurisdiction, or circumvent any restriction set out in these Terms. SwapZilla reserves the right to suspend or terminate access for any User who violates these Terms and to cooperate with law-enforcement requests as required by applicable law.
